PANews reported on February 18 that according to Jinshi, citing the Financial Times, in order to resist Musk's unsolicited takeover offer, OpenAI is considering giving its non-profit board of directors special voting rights to maintain the power of the directors. According to people familiar with the discussions, after OpenAI transformed into a more traditional for-profit company, CEO Sam Altman and other board members are weighing a series of new governance mechanisms, namely giving the non-profit board of directors super-large voting rights, which will ensure that it maintains control over the reorganized company and can veto decisions of other investors, including existing investors such as Microsoft and SoftBank. Although no final decision has been made, special voting rights will also ensure that OpenAI can repel external hostile takeovers like Musk's. Special voting rights can put power in the hands of the non-profit sector in the future, in response to the criticism of the Tesla CEO.
