I recently participated in several offline sharing events in the legal and AI industries. In my exchanges with many AI entrepreneurs, I discovered a common and fatal misconception: many entrepreneurs who are skilled at using complex AI tools have a significant misunderstanding of the compliance risks of OPC (one-person limited liability company).
Currently, various regions have introduced many favorable policies to attract OPCs, but these policies are helpful yet risky. Many entrepreneurs see the benefits and spend a few hundred yuan to hire an agency to register an OPC, thinking that the registered capital of several hundred thousand yuan is the upper limit of the risks they will face in the future, but the reality is not so.
In a recent interview with a reporter from 21st Century Business Herald, we discussed the fall from grace of the American AI healthcare company Medvi. This further convinced me that the vast majority of startup teams are unknowingly operating in a state of "legal vulnerability."
The "Super Individual" Frenzy Behind $1.8 Billion in Revenue
(i) To understand the risks, let’s first look at how much benefit AI can generate.
Matthew Gallagher, 41, founded Medvi, a company that sells combination weight-loss drugs, with only $20,000 in start-up capital and one full-time employee.
His architecture was deliberately streamlined to the extreme. The backend infrastructure, such as licensed doctors, pharmacy dispensing, and logistics delivery, was all outsourced to third-party platforms.
The front-end branding, marketing, and customer relations are entirely handled by AI. He writes code using large models, uses AI to generate ads, and provides voice communication.
In its first full calendar year of operation, Medvi achieved $401 million in revenue with a net profit margin of 16.2%, and is racing toward its annual sales target of $1.8 billion. This is truly a case of "one man leading an army."
(II) How the Myth of Efficiency Evolves into a Compliance Disaster
But leverage is a two-way street. AI amplifies productivity thousands of times over, but it also raises the costs of trial and error and the risks of illegality to unbearable levels. Medvi's collapse was even faster than its rise.
First, there was the breach of contract caused by the illusion of AI. The customer service robot not only quoted inaccurate drug prices but also fabricated a hair loss product line that the company didn't even have, making false promises to the outside world. When the system malfunctioned, over a thousand angry calls were made directly to the founder's mobile phone.
Next came the fatal regulatory red line. In pursuit of high-frequency marketing, the company allegedly illegally used AI to generate over 800 fake doctor accounts for advertising. They even fabricated numerous before-and-after photos and testimonial videos of "real users."
Ultimately, with official warning letters received for selling drugs not approved by the FDA, and data breaches involving millions of patient records caused by clinical partners, the company and its founders face systemic risks of massive compensation claims and even criminal liability.
(iii) The amplified double-edged sword effect
Medvi's story is a Damocles' sword hanging over the heads of every AI entrepreneur in China.
Under traditional business models, the default risk of a one-person company is mostly limited to a dozen or so bad debts.
But today, when agents have the ability to autonomously execute tasks 24/7, the risks also increase exponentially.
Any illusory promise made through the black box of the machine, or any unauthorized bulk data scraping, could instantly trigger a massive number of breach of contract disputes and intellectual property claims. If you still view these risks through a traditional OPC perspective, thinking that the worst that can happen is company bankruptcy, you are absolutely wrong.
Seven key points: A compliance checklist for AI entrepreneurs
Many entrepreneurs feel that Medvi's systemic fraud is far removed from their own lives. However, under the current business and legal framework in China, even if you have no malicious intent, as long as your business leverages AI, the following seven compliance risks are enough to instantly expose your company to significant risks, and even saddle your founders with enormous debts.
Key Point 1: Unlimited Liability, Failure of Segregation, and Reversal of Burden of Proof
This is the most common pitfall for OPC entrepreneurs, and also one of the biggest risks.
To save time and effort, many people, seeing preferential policies, simply spend a few hundred yuan to hire an agency to register a sole proprietorship limited liability company. Furthermore, in actual operation, they commonly use personal accounts to receive business payments and personal credit cards linked to overseas clients for monthly deductions. Legally, this constitutes direct "commingling of assets."
The revised Company Law of 2023 explicitly stipulates that the burden of proof is reversed for sole proprietorships. In the event of a substantial claim, unless you can prove that your assets are strictly independent, you will bear unlimited joint and several liability for the debt.
Key Point Two: Uncontrolled Black Box and the Party Bearing Responsibility for Breach of Contract
In the current civil and commercial legal system, AI agents do not possess any legal entity status. This means that for all errors generated by AI, whether it's inflated pricing or false promises, the company that actually uses the AI will ultimately bear the cost.
Due to the black-box nature of AI technology and its high-frequency operation, the scale of compensation for such systemic defaults is often uncontrollable and may penetrate a company's cash flow in a short period of time.
Key Point Three: Assets in limbo and the platform tenant crisis
Domestic courts place great emphasis on the "intellectual investment" of creators in the copyright protection of AI-generated products. If you simply input a few prompts or fail to establish a complete intellectual property registration workflow, your commercial output cannot be legally protected.
Furthermore, building the core business entirely on a third-party AI platform essentially makes the company a "tenant" whose accounts could be blocked and wiped out at any time. This would directly lead to the company's core assets being deemed to have extremely high risks during due diligence for financing.
Key Point Four: Used APIs and the Red Line for Cross-Border Data Export
In order to quickly get their MVPs running, many startups directly call up overseas large-scale model interfaces for secondary development or wrapper around them. Operating domestically without algorithm registration and online approval, they face an extremely high risk of being taken down and subject to administrative penalties.
Moreover, transmitting domestic users' interaction data directly to overseas models without anonymization crosses the regulatory red line for data security when exporting data.
Key Point Five: Asset Contamination and Leakage of Trade Secrets
In order to make AI assistants more "informed", entrepreneurs are used to feeding un-anonymized customer data, business contracts and even core business code directly to public cloud models.
This not only infringes on customer privacy, but also risks having the company's core trade secrets "absorbed" by the model and reproduced in the results generated by other users. Without a data cleaning workflow, this practice will cause the company to lose its competitive advantage.
Key Point Six: Agent Overreach and Substantial Damage
When AI moves from simply generating content to autonomous execution, the risks undergo a qualitative change. Granting agents the authority to manipulate systems, call APIs, or even access financial accounts poses extremely high risks.
If an agent suffers a prompt injection attack, or performs incorrect business purchases and asset transfers due to its own logical fallacies, the losses are irreversible.
In such situations, necessary risk control, whether technical or legal, becomes paramount.
Key Point Seven: The Illusion of Employment Behind the Super-Individual
So-called one-person companies often rely heavily on part-time outsourcing and crowdsourcing personnel to fill the gaps that AI cannot cover in actual operation.
These non-standard employment relationships typically lack robust intellectual property transfer and confidentiality clauses. The commercial digital assets developed collaboratively by the team are highly susceptible to future ownership disputes, becoming hidden landmines hindering financing and mergers and acquisitions.
Reconstructing the Moat: From Technological Leadership to Compliance Defense
Over the past year, with the explosion of open-source models, pure technological advantages are being rapidly eroded. A once-proud AI workflow can be replicated by competitors in a week, or replaced simply by an update to a general-purpose model.
In the next phase of AI startups, the real competition lies not in who runs the fastest, but in who can address genuine business needs while continuing to develop in compliance with regulations. When systems inevitably experience illusions or companies face massive claims, a robust compliance framework is the last line of defense to prevent business shutdowns and protect the founders' personal assets.
Say goodbye to "legal nudity": Compliance is not a cost, but a core asset.
Legal compliance can no longer be regarded as an additional matter to be considered only after making a lot of money.
If personal and company accounts are commingled for an extended period, all of an individual's wealth is essentially being used to bail out a machine that operates 24/7. I completely understand everyone's passion for seizing market opportunities. However, in this rapid expansion, taking the time to streamline equity structure, establish a record-keeping system, and sever financial commingling is absolutely a necessary business decision right now.
